Thank you for visiting our site, which is owned and operated by Hair Club for Men, Ltd., Inc. (collectively, “HairClub”, “we” or “us”). HairClub, individually and through its subsidiaries, provides the content and services available on the websites www.hairclub.com, www.shop.hairclub.com, the HairClub App, any HairClub emails, email newsletters published or distributed by HairClub and all interactive features, services and communications provided by HairClub (collectively, the “Platforms”). Please read these terms of use (“Terms of Use” or “Terms”) carefully before using the services in any of our Platforms. These Terms of Use set forth the legally bindings terms and conditions for your use of the Platforms.     

These Terms of Use apply to all users of the Platforms, including, without limitation, users who are contributors of content, information and other materials or services on the Platforms. If you do not agree with the Terms, then you do not have the right to access, view, download or otherwise use the Platforms or purchase any products and, accordingly, you should not do so.

We may, at our sole discretion, change, add, or delete portions of these Terms of Use at any time on a going-forward basis. It is your responsibility to check these Terms of Use for changes prior to use of the Platforms, and your continued use of the Platforms following the posting of changes to these Terms of Use constitutes your acceptance of any changes.

Terms of Use

General Terms of Use of the Platforms

You agree to use the Platforms only for lawful purposes. You agree not to take any action that may compromise the security of the Platforms, render the Platforms inaccessible to others or otherwise cause damage to the Platforms, its users, or the content therein. You agree not to use the Platforms in any manner that might interfere with the rights of third parties. We reserve the right to terminate or limit your access to the Platforms for any violation of the Terms of Use or our Privacy Policy, or for any other reason, in our sole discretion. In such event, you must immediately destroy or delete any downloaded or printed material from our Platforms.

To access the Platforms or some of the resources they offer, from time to time, you may be asked to provide certain registration details or other information. It is a condition of your use and or your interaction with the Platforms that all the information you provide is correct, current, and complete. You agree that all information you provide to register with HairClub through any Platforms, or over the phone, in center, via teleconference or otherwise, including but not limited to via the use of any interactive features is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with the Privacy Policy.

Eligibility

Our Platforms are intended for adults 18 years of age or the age of majority in your jurisdiction. By using our Platforms you represent and warrant that you (a) are above the legal age of majority in your jurisdiction of residence; (b) have not previously been suspended or removed from our Platforms;(c) and you will only provide us with true, accurate, current and complete information if you register to receive information or for any contests or sweepstakes, as defined below. HairClub does not knowingly collect personal information from children, which includes anyone under 18. If you are under 18 years of age or the age of majority in your jurisdiction, do not use or provide any information on any HairClub Platforms. If we learn we have collected or received personal information from a child under 13 without verification of parental consent, we will delete that information. If you believe we might have any information from or about a child under 13 years of age, please contact us using the information on the Contact Us section of our Privacy Policy.

Products and Services for Personal Use

The products and services available on the Platforms are for personal use only. You may not sell or resell any of the products, or samples thereof, you purchase or otherwise receive from us. We reserve the right, with or without notice, to cancel or reduce the quantity of any order to be filled or products to be provided to you that we believe, in our sole discretion, may result in the violation of our Terms.

You acknowledge and understand that all information presented on our Platforms is intended to be used for personal, education or information purposes only. Unless otherwise noted, the statements made about any of our products have not been evaluated by the U.S. Food and Drug Administration or any other government agency and the results reported, if any, may not necessarily occur in all individuals. Except as otherwise expressly specified, the statements, information and products sold through our Platforms are not intended to cure, treat, diagnose, or present any condition or disease, or to serve as a substitute for professional medical advice. All products should be used strictly in accordance with their instructions, precautions, and guidelines.

Communications Consent

By providing your telephone number, you are providing express written consent to receive communications from HairClub, (including its affiliates, agents, service providers, and affiliates for the purposes as defined herein) for any purpose, including but not limited to marketing various services from both HairClub and companies HairClub has joint marketing agreements with. Additionally, you agree to receive communications from HairClub regarding any service, and any information you may have obtained via your use of our Platforms. You agree that these communications include, but are not limited to, the use of an Automated Telephone Dialing System, prerecorded and/or artificial voice, SMS, MMS, text, fax, email or other similar means. Note, regardless of whether your phone number is registered on a state or federal Do Not Call list. You agree that HairClub is not responsible for any charges to you regarding these communications. Standard voice and data rates may apply. Should you wish to no longer receive communications, you may text “STOP” to cease receiving such communications. Further, you understand that you do not need to provide this consent to call as a condition to receive any good or service, in which case you will not provide your phone number.

HairClub Application Accounts

In order to access some features on the Platforms, you will need to create a HairClub App account (“HairClub App Account”) and you agree to:

  1. Provide true, accurate, current and complete information about yourself (“Profile Data”).
  2. Maintain and promptly update the Profile Data to keep it accurate.
  3. Only maintain one HairClub App Account.
  4. Never use another person’s HairClub App Account.
  5. Bear full responsibility for the activity on your HairClub App Account and the security of your account credentials.

We have the right to suspend or terminate your HairClub App account, with or without notice, and refuse any and all current or future use of the Platforms due your violation of the Terms of Use or Privacy Policy, or if we determine in our sole discretion that suspension or termination is in the best interest of supporting a fair, wholesome and safe environment for users of the Platforms.

User Content and Review of Submissions

We welcome user comments, information, and submissions.  In addition, from time to time, you and other users of the Platforms may have an opportunity to post on the Platforms certain ideas, concepts, information, data, text, music, sound, photographs, graphics, video, messages, comments on our products, advertising and other promotional materials or events, facts, advice, “tips”, opinions and other material (collectively, “User Content”). Subject to our Privacy Policy, all User Content that you post on our Platforms will be treated as non-confidential and non-proprietary to you and may be viewed by you and/or other users of the Platforms. Additionally, by using the Platforms you agree to grant HairClub and any of its affiliates, successors and assigns, a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, transmit, and create derivative works from, distribute, and display, throughout the world in any media, any and all User Content and the name and or likeness associated to such User Content (the “License”). We cannot guarantee that other users will not copy, modify, distribute, or otherwise use the User Content that you share. Therefore, if you have an idea or information that you would like to keep confidential and/or do not want others to use, do not post it on our Platforms. We and our affiliates are not responsible for any user’s misuse or misappropriation of any User Content you post on the Platforms.  

You acknowledge we have no obligation to verify the identity of any users when they are connected to the Platforms or to supervise the User Content that has been provided by users. You further acknowledge that we may or may not prescreen, monitor, review, edit or delete the User Content posted by you and other users on the Platforms. We and our designees retain the right to modify, move, refuse, block or remove any User Content, in whole or in part, for any reason or no reason, with or without notice. We and our designees also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce these Terms of Use, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect our rights, property or safety, from users of the Platforms and the public.

User Conduct

By posting User Content in or otherwise using any communications service or other interactive service that may be available to you on or through the Platforms from time to time, you agree that you are the sole responsible person and/or entity from which such User Content originated.  Moreover, you agree not to access or use the Platforms for any purpose that is prohibited by these Terms of Use.  You are responsible for all of your activity in connection with our Platforms.

You are prohibited from posting or transmitting any material to the Platforms that could: (i) interfere with anyone else’s use of the Platforms; (ii) be considered abusive, illegal, indecent, obscene, offensive, discriminating or threatening in any way; (iii) encourage anyone to break the law; (iv) violate anyone’s copyright or other property right; (v) interfere with the privacy of any other user; (vi) contain a virus or any other harmful component; or (vii) contain false or misleading statements of fact or descriptions of the origin of the material or the communication.

Although we may from time to time monitor or review postings, transmissions, and the like on the Platforms, we are under no obligation to do so, and assume no liability or responsibility arising from the contents of any such communications. We may change, edit, or remove any User Content or conversations that we deem illegal, indecent, obscene, offensive, or otherwise violating our policies in any way. We will fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting such materials.

No Endorsement

We do not control the User Content posted on the Platforms and, as such, we make no representations or warranties regarding User Content or its truthfulness, accuracy, reliability, integrity or quality.  We do not determine whether User Content violates the rights of others, and we have no control over whether User Content is of a nature that you or other users may find offensive.  User Content includes the opinions, statements, and other content of third parties, not us. You acknowledge and agree that the information and views expressed by you and other users in User Content appearing on our Platforms do not necessarily reflect our views or those of our content providers, advertiser, sponsors, affiliated or related entities, and we do not support or endorse any User Content or any other content posted by you or any other user on or otherwise accessible through the Platforms.

Intellectual Property and Service Content

Unless otherwise noted, all information and content on the Platforms, including but not limited to trademarks, logos, service marks, features, functions, graphics, images, audio material, video material, data compilations, button icons, software, articles, artwork, downloads and other files, excluding User Content as defined herein (collectively, the “Content”), is our property or the property of our parents, subsidiaries, our affiliates, partners or licensors, and is protected by United States and international laws, including laws governing copyrights and trademarks.

The HairClub Platforms and all their features, materials, along with the information they display, the marketing collateral used, and the trademarks, logos, copyrights and service marks (“Marks”) used are protected by the intellectual property rights of HairClub and or third parties under agreement with HairClub. The unauthorized use and or appropriation of these Marks or materials without the prior written consent of HairClub or any third-party owner of the Mark is illegal and HairClub actively polices and enforces its intellectual property rights. You agree to comply with all copyright laws worldwide in your use of the Platforms, as such You understand and agree that You must refrain from any unauthorized copying or use of the Marks. Except as expressly provided herein, HairClub does not grant any express or implied right to you under this Agreement.

Except as otherwise provided in these Terms of Use or without our express prior written permission, you may not, and agree that you will not, use, publish, reproduce, display, publicly perform, create derivative works from, reverse engineer or decompile, disassemble, distribute, license, transfer, sell, copy, post, enter into a database, upload, transmit or modify the Content or any portion thereof, for any purpose or by any means, method, or process now known or later developed.  Modification of the materials appearing on the Platforms or use of such materials for any other purpose is a violation of our copyright and other proprietary rights.

Opinions, advice and all other information expressed by any third parties on the Platforms represent their own views and not those of HairClub. You should not rely on such opinions, advice, or other information. Neither HairClub nor any of its affiliates or their respective agents, directors, employees, information providers, licensors, licensees, officers and/or affiliates shall be responsible or liable for any decisions made based on such information.

Copyright Protection

HairClub honors the intellectual property rights of others and asks the same of its users and visitors of the Platforms. HairClub may, in its sole discretion, terminate the accounts or access rights of users whose actions infringe or otherwise violate the intellectual property rights of others. HairClub will investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act (17 U.S.C. § 512) (“DMCA”) and other applicable intellectual property laws. Upon receipt of notices complying with the DMCA, HairClub will act to remove or disable access to any material found to be infringing or found to be the subject of infringing activity and will act to remove or disable access to any reference or link to material or activity that is found to be infringing.

If you believe your work has been copied in a way that constitutes copyright infringement, please provide HairClub with the following information. Please be advised that to be effective pursuant to Section 512(c)(3) of the DMCA, the Notification must include ALL of the following:

  1. a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  2. a description of the copyrighted work that you claim has been infringed, or if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site with information reasonably sufficient to permit HairClub to identify the material;
  3. your address, telephone number, and email address and all other information reasonably sufficient to permit HairClub to contact you;
  4. a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  5. a statement by you, made under penalty of perjury, that the above information in your notification is accurate and that you are the copyright owner or are authorized to on behalf of the owner of an exclusive right that is allegedly infringed.

After receiving an effective notification of claimed infringement, we will process and investigate the claim and, if appropriate, will act expeditiously to remove or disable access to material claimed to be infringing. We also will take reasonable steps to notify the uploading user that the material has been removed or disabled at your request. This notification process does not limit HairClub’s ability to exercise any other rights or pursue any other remedies it may have to address claims of infringement.

Links To Other Websites or Social Media Applications or Platforms

You may be able to link to third party Websites, services or resources on the Internet from our Platforms, and third-party Websites, services or resources may contain links to our Platforms (collectively, “Linked Sites”). We are not responsible and specifically disclaim any liability for the content, availability, advertising, products, services, and other materials of any such Linked Sites, or any additional links contained therein, and our inclusion of links to the Linked Sites on our Platforms does not imply that we endorse or approve of any materials contained on, or accessible through, the Linked Sites. In no event shall we be liable, directly or indirectly, to you or any other person or entity for any loss or damage arising from or occasioned by the creation or use of the Linked Sites or the information or material accessed through these Linked Sites, including without limitation, their privacy policies and terms and conditions. When accessing Linked Sites as part of our services, you are solely responsible for reviewing applicable terms of use and privacy policies to ensure compliance and determine how they collect, use, store, protect, and or share your personal information. Video Consultations and Use of Software

Some of our Platforms may allow you to use a video consultation feature either with automated tools or with live consultation through third-party platforms. By using this service, you agree to allow us to activate your camera to connect with our consultants. You further agree HairClub will not be responsible for your interaction with such third-party video consultation platforms and or software, including its treatment of your information and the terms and conditions applicable to any transaction between you and the third-party video platforms. 

Interactive Services

The Platforms may provide interactive services, including chatbot and managed chat and session replay technology. By accessing or using any of these features, you agree that we may record and retain a transcript of all communications with you via these interactive tools, and/or may record or recreate your activity while using the Platforms, in order to provide services, enhance your Platform experience, and for quality and verification purposes. We may work with trusted service providers to analyze, store, and/or use this data on our behalf. Your use or access of any of these tools or of our Platforms is governed by this section, our Terms of Use, and our Privacy Policy.

Disclaimer of Warranties

THE INFORMATION PRESENTED ON OR THROUGH THE PLATFORMS IS MADE AVAILABLE SOLELY FOR GENERAL INFORMATION PURPOSES. HAIRCLUB MAKES NO EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR ENDORSEMENTS WHATSOEVER WITH RESPECT TO THE PLATFORMS OR THEIR CONTENT AND OR ANY RELIANCE THEREON. ANY MATERIAL ON THE PLATFORMS MAY BE OUT OF DATE AT ANY GIVEN TIME. HAIRCLUB EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDINB BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGMENT, WITH REGARD TO THE PLATFORMS, THE SERVCE, THE CONTENT, AND ANY PRODUCT OR SERVICE FURNISHED OR TO BE FURNISHED VIA THE PLATFORMS. HAIRCLUB DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE CONTENT, OR THAT ANY ERRORS IN THE CONTENT WILL BE CORRECTED. Limitations of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HAIRCLUB, ITS AFFILIATES, PARENTS, SUBSIDIARIES ASSIGNS AND EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS WILL NOT BE HELD LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR VIOLATION OF THE TERMS OF USE, THE PRIVACY POLICY, OR THE COMMUNICATIONS POLICY, OR YOUR USE OF OR INABILITY TO USE THE HAIRCLUB PLATFORMS, INCLUDING ANY INTERRUPTIONS, ERRORS, DEFECTS OR DELAYS IN TRANSMISSION OF THE PLATFORMS, EVEN IF HAIRCLUB HAS PREVIOUSLY BEEN ADVISED OF, OR REASONBLY COULD HAVE FORESEEN, THE POSSIBILITY OF SUCH DAMAGES, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, UNAUTHORIZED HACKING, OR THE INTRODUCTION OF HARMFUL CONTENT BY THIRD PARTIES, OR OTHERWISE, EVEN IF FORESEEABLE.

Indemnification

Your agree to defend, indemnify and hold HairClub and its affiliates, parents, subsidiaries, assigns, officers, directors, shareholders, predecessors, successors-in-interest, employees, agents and licensors (“Indemnified Parties”) harmless from and against any and all claims, losses, liabilities and expenses, including attorney’s fees, resulting from any claim, action, or demand arising from (i) your use of the Platforms or the Content in violation of any law, rule, regulation, or these Terms, or (ii) any part of your User Content. You also agree to indemnify the Indemnified Parties for any loss, damages, or costs, including reasonable attorney’s fees, resulting from your use of software robots, spiders, crawlers, or similar data gathering and extraction tools, or any other action you take that imposes an unreasonable burden or load on our infrastructure.

Surveys, Sweepstakes, Quizzes & Contests

From time to time, HairClub may publish and or make available Surveys, Sweepstakes Quizzes & Contests or similar events that may offer prizes or require you to send in material or information about yourself. Surveys, Sweepstakes Quizzes & Contests or other such events have their own rules, and you are responsible for reading such rules before participating. Each contest or similar event has its own rules, which you must read and agree to before you may enter.

Disputes

By using our Platforms, you agree that HairClub or one of its affiliates at its sole discretion, may require that: (1) any and all disputes and causes of action related to or connected with these Terms, the Platforms, and the related offerings shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at a AAA regional office nearest the participant; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. You understand and agree that you are waiving your right to sue or go to court to assert or defend your rights under this agreement.

A printed version of the Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to the Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

These Terms of Use are the entire agreement between you and us with respect to the Platforms and any User Content and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and us with respect to those matters. If any provision of these Terms of Use is found to be illegal or unenforceable, the remainder of the Terms of Use shall be unaffected and shall continue to be fully valid, binding, and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. No agency, partnership, joint venture, or employment relationship is created as a result of these Terms of Use, and neither party has any authority of any kind to bind the other in any respect.

Governing Law and Jurisdiction

Visitors to our Platforms acknowledge that all activities available on and through the Platforms, are governed by the laws of the United States of America and the laws of the State of Florida. We do not represent that materials on the Platforms are appropriate or available for use in other locations. Persons who choose to access the Platforms from other locations do so on their own initiative and are responsible for compliance with local laws.

You agree that the laws of the State of Florida, excluding its conflict of laws rules, and these Terms of Use, our Privacy Policy and any other policies posted from time to time on the Platforms applicable to your use of the Platforms shall govern your use of the same. Please note that your use of the Platforms may be subject to other local, state, national, and international laws. You expressly agree that exclusive jurisdiction for any claim or dispute with us (or any of our affiliates) or relating in any way to your use of the Platforms resides in the courts of the County of Palm Beach, State of Florida, and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of the County of Palm Beach, State of Florida, in connection with any such dispute and including any claim involving us or our affiliates, subsidiaries, employees, contractors, officers, directors, telecommunication providers and content providers.

Notices

Unless otherwise specified in these Terms of Use, all notices under these Terms will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or email; or the day after it is sent, if sent for next day delivery by recognized overnight delivery service.

You agree that we may send notices to you regarding your use of the Platforms by means of electronic mail, a general notice posted on the Platforms or by written communication delivered either by overnight courier or U.S. mail to your email or mailing address as appearing in our records from time to time.

TERMS AND CONDITIONS OF SERVICES
(“Terms and Conditions of Services” or “Terms”)

This Terms and Conditions of Services is between Company and You, as defined in Your Client Services Agreement, and these Terms are incorporated into the Client Services Agreement as of the Effective Date. The Client Services Agreement and these Terms together with any documents they expressly incorporate by reference are collectively referred to as the “Agreement”). Any capitalized terms not otherwise defined herein shall have the meaning attributed to them in Your Client Services Agreement.

Acceptance of Terms and Changes

By signing Your Agreement, You agree to be bound by these Terms. These Terms are subject to change. Any material changes will be communicated in writing or via email at least thirty (30) days prior to taking effect. If You disagree with this Agreement or any terms or conditions, your sole remedy is to discontinue your use of the Services, and you may not be entitled to a refund in accordance with Your Agreement. Your continued use after a change to this Agreement has been provided or posted constitutes your acceptance of this Agreement as modified by such changes.

Financial Responsibility for Services

Company is not enrolled with, and is not a participating provider with, any federal or state healthcare programs (e.g., Medicare and Medicaid) or other private health insurance, health benefit plan or managed care organization. None of the Services provided or offered under this Agreement are covered by such programs or plans. By entering into this Agreement and using the Services, you acknowledge and agree that (1) you are explicitly choosing to obtain Services (including Telehealth Services, Pharmaceuticals, DNA Test and/or all other Third Party Services purchased pursuant to Your Agreement) on a cash basis outside of any federal, state, or other healthcare program, (2) You are solely responsible for the costs of all Services, and (3) neither You nor Company will submit a claim for reimbursement to any federal, state, or other healthcare program, private health insurance, health benefit plan or managed care organization for the costs of the Services.

HairClub RX Services

The Services are sold or offered by Company or Third-Parties that include medical providers, pharmacies, laboratories and other vendors. In particular, the Services provide access to pharmaceutical fulfillment services offered by Pharmco, Inc. (the “Pharmacy”), laboratory services for the DNA Test offered by GX Sciences, LLC (the “Lab”) and healthcare services offered via Wheel Health Inc. telehealth technologies by Wheel Medical, P.A., Wheel Medical, P.C., Wheel Medical, P.C., Wheel Medical of California, P.C., Wheel Medical of Washington, P.C., Wheel Medical of Illinois, P.C., Wheel Care, LLC and their respective employed or contracted physicians, allied health professionals and licensed providers (collectively the “Provider Group”) www.wheel.com. You acknowledge and agree that Company is not providing healthcare, medical or laboratory services nor selling or dispensing prescription products and you are not entering into a doctor-patient relationship with Company. By using the Service, You may enter into a doctor-patient relationship or other health care provider-patient relationship with a Provider Group provider or other Third-Party. Services are intended for persons who have reached the age of majority in the jurisdiction in which they reside. Our third-party Provider Group is licensed to provide telehealth services in all 50 states plus D.C.

All Third-Party Service providers, including the Pharmacy, Lab, Provider Group and its providers are independent from Company. Company does not control, supervise, or interfere with the practices of such Third-Parties. Company only provides access to the products and services offered by these Third-Parties through the Services and your membership. We are not responsible for any acts or omissions of, or recommendations provided by, such Third-Parties. Such Third-Parties are solely responsible for any products and services they provide. If the Services you receive include Third-Party products or services (e.g., a consultation with Provider Group, a prescription product filled by Pharmacy, the DNA Test), the total Service Fee you pay includes the amounts charged for the use of such Services. Company collects the amounts charged on behalf of and pays them to the applicable Third-Party.

By using the Services, you are not entering into a healthcare provider-patient relationship with Company. Any information that Company collects from or discloses to a Third-Party Service provider is limited to what is reasonably necessary to provide you the Services and such information is only processed with your express authorization and in connection with our direct Client relationship with you. Please refer to https://www.hairclub.com/rx-terms-and-safety/. and HairClub RX disclosures and authorization forms to understand how we process such information. You understand that your authorization for the processing of your personal information, including heath and genetic information, will be necessary to obtain the Services. The practices of any Third-Party are subject to such Third-Party’s own policies and procedures and Company is not responsible for any of the privacy or data security practices of such Third-Parties. You understand that such Third-Parties may require authorization from you for the processing of your personal information in connection with receipt of the Services.

Certain products available through the Services require a valid prescription from a licensed healthcare provider, which you may or may not receive after a consultation with a Provider Group provider. To obtain a prescription product as part of the Services, you must have completed a consultation with a Provider Group provider. The Provider Group provider will review Your specific case and, if the provider deems appropriate, will prescribe a prescription product, which may include a compounded medication, to meet Your specific needs for the treatment of hair loss.

The Services also include access to the Pharmacy who may be able to fill a prescription You receive from a Provider Group provider. The Pharmacy will fill and ship the prescription to You, and the cost is included in the Service Fee. If You elect to transfer or fill your prescription elsewhere, the cost of such medications will not be included in the Service Fee. Prescriptions are for Your personal use only. Always read product information and consult a doctor or pharmacist if you have questions.

The Company doesn’t endorse or warrant any specific medications, prescription products or Third-Party products or services. While each pharmaceutical ingredient in a compounded medication, individually, may be approved by the Food and Drug Administration, the combination may not. A compounded treatment is not FDA-approved, and FDA does not evaluate the safety or effectiveness of compounded drugs. Under no circumstances will you obtain a prescription product as part of the Services, unless You have completed a consultation with a Provider Group provider and the provider has deemed the prescription product to be medically appropriate in his or her independent professional judgment.

The DNA Test was developed and its performance characteristics determined by the Lab. It has not been cleared or approved by the FDA. The laboratory is regulated under Clinical Laboratory Improvement Amendments (CLIA) and qualified to perform high-complexity testing. This test is used for clinical purposes and has not been independently validated by Company.

Third-Parties

As part of the Services available to You during the Term, You will have access to certain Third-Party products and services, as described in this Agreement. Your use of any Third-Party products and services is solely between You and the Third-Party. You should make any investigation you feel is necessary or appropriate before receiving any Third-Party products or services or providing personal information to Third-Parties. You are solely responsible for, and shall exercise discretion, common sense and judgment in disclosing personal information to Third-Parties and using the Services. Any Services you receive from a Third-Party, including the Pharmacy, Lab, or Provider Group and its providers, are subject to such Third-Party’s terms of use, service and goods, if any, and if not, subject to this Agreement. Your use of Third-Party products and services must comply with all applicable Third-Party terms of agreement, if any. Except as may be provided herein, there is no intent to establish any third-party beneficiary rights.

Shipping; Delivery; Title and Risk of Loss

Pharmacy will arrange for shipment of prescription medications, as applicable. To the fullest extent permitted by applicable law, title and risk of loss pass to You upon the transfer of the prescription products to the carrier. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for any delays in shipments.

Accessing Services and Account Security

In order to use certain aspects of the Services, you must set up accounts with certain Third-Parties (“Account”). To set up an Account, You must provide certain personally identifying information and establish a username and password that You will use to access portions the Services (“Password”).

It is a condition of Your use of the Services that all of the required information You provide is correct, current, and complete. You agree to promptly inform the applicable Third-Party of any changes to your Account registration information.

To the fullest extent permitted by applicable law, we reserve the right to take any action that we deem necessary to ensure the security of the Services. You are solely responsible for keeping Your Password confidential. Anyone with knowledge of or access to Your Password can use that information to gain access to your Account. You are solely liable for any claims, damages, losses, costs, or other liabilities resulting from or caused by any failure to keep Your Password confidential, whether such failure occurs with or without Your knowledge or consent. You agree that you will immediately notify us and the appropriate Third-Party of any suspected or actual unauthorized access to or use of Your Password or any other breach of Your Account security.

You are also responsible for: (i) all transactions or activities carried out using Your Account and Password; and (ii) ensuring that when You access the Account that the system You use to access the Account is secure, is not left unattended unless You have fully exited the Account and that Your Password is not retrievable from the system by others.

No Transfers

The Services described in the Agreement are personal and tailored to You, as such You cannot transfer the benefits described in this Agreement to anyone.

Governing Law & Arbitration

This Agreement shall be governed and interpreted in accordance with the laws of the province or state in which the Agreement is signed without giving effect to principles of conflicts of law. Notwithstanding this governing law provision, if for any reason, the whole Agreement or any portion of it is voided or unenforceable in such province or state, then this Agreement shall be governed and interpreted in accordance with the laws of the state of Florida in the United States. All Claims arising under this Agreement must be resolved and settled by final and binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and conducted before a single arbitrator who is a member of the AAA. Arbitrations must be held in the county or province where the Agreement was signed, but the parties may choose for themselves whether to appear in person, by phone, or through the submission of documents. The arbitrator will issue a ruling in writing and will detail all findings of fact and law upon which the ruling was made. The ruling may be vacated or corrected on appeal to a court of competent jurisdiction in the event of errors of law or legal reasoning. The arbitrator’s ruling will otherwise be final and binding on all parties and may be entered in any court of competent jurisdiction. The parties agree that all fees, costs and expenses, including, without limitation, reasonable attorneys’ fees and arbitrator costs, incurred by the prevailing party of an arbitration proceeding under this Agreement shall be reimbursed by the losing party; provided, that if a party prevails in part, and loses in part, the court, arbitrator or other adjudicator may award a reimbursement of the fees, costs and expenses incurred by each party equitably.

Indemnification

You agree to defend, indemnify, and hold harmless Company, and any subsidiaries and affiliates from and against any and all rights, demands, losses, liabilities, damages,claims, causes of action, actions, and suits (no matter whether at law or equity), fees, costs, and attorney’s fees of any kind whatsoever arising directly or indirectly out of or in connection with: (i) Your use or misuse of the Services; (ii) Your breach of the Agreement; (iii) the content or subject matter of any information You provide to Company or any Third-Parties; and/or (iv) any negligent or wrongful act or omission by You in Your use or misuse of the Services, including without limitation, infringement of third party intellectual property rights, privacy rights, or negligent or wrongful conduct.

Indemnification

You agree to defend, indemnify, and hold harmless Company, and any subsidiaries and affiliates from and against any and all rights, demands, losses, liabilities, damages,claims, causes of action, actions, and suits (no matter whether at law or equity), fees, costs, and attorney’s fees of any kind whatsoever arising directly or indirectly out of or in connection with: (i) Your use or misuse of the Services; (ii) Your breach of the Agreement; (iii) the content or subject matter of any information You provide to Company or any Third-Parties; and/or (iv) any negligent or wrongful act or omission by You in Your use or misuse of the Services, including without limitation, infringement of third party intellectual property rights, privacy rights, or negligent or wrongful conduct.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW AND IN CONSIDERATION FOR THE SERVICES YOU ARE RECEIVING, YOU AGREE THAT NEITHER COMPANY NOR ANY OF ITS AFFILIATES OR EMPLOYEES SHALL BE LIABLE FOR DAMAGES TO YOU OR YOUR ESTATE, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES THAT ARISE OUT OF ANY BREACH, INJURY OR NEGLIGENCE BY COMPANY OR ITS EMPLOYEES OR OUT OF ANY ACTIONS, SUITS, CLAIMS OR DEMANDS THAT ARISE FROM THE SERVICES YOU ARE RECEIVING, LAB, PLATFORM, PHARMACY, PROVIDER GROUP, PROVIDERS, ANY THIRD PARTIES PROVIDING ANY SERVICES UNDER THIS AGREEMENT, OR THIS AGREEMENT. WITHOUT LIMITING THE FOREGOING, IF FOR ANY REASON, BY OPERATION OF LAW OR OTHERWISE, THE WHOLE OR ANY PORTION OF THIS LIMITATION OF LIABILITY IS VOIDED OR UNENFORCEABLE, THEN COMPANY’S MAXIMUM, SOLE, AND EXCLUSIVE LIABILITY TO YOU FOR DAMAGES RESULTING FROM ANY BREACH, INJURY OR NEGLIGENCE IS LIMITED TO GENERAL MONEY DAMAGES EQUAL TO OR LESS THAN THE SERVICE FEE(S) ACTUALLY PAID BY YOU UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM GIVING RISE TO THE COMPANY’S LIABILITY. COMPANY EXPRESSLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES NOT CONTAINED IN THIS AGREEMENT.

Miscellaneous

If any term or condition of this Agreement is found by an arbitrator or court of competent jurisdiction to be invalid, illegal or unenforceable, then to the extent allowed by law, the arbitrator or court shall apply the intention behind the invalid term to its interpretation of the Agreement and if not feasible, then the invalid term shall be stricken from this Agreement, but the balance of this Agreement shall remain in effect in accordance with its remaining terms. In no event shall Company be required to explain, comment on, suffer liability for or forfeit any right or discretion based on its enforcement, non-enforcement or consistency of enforcement of these terms. This Agreement may not be amended, and its terms may not be waived, except by written document signed by both parties.

HAIRCLUB RX™

TÉRMINOS Y CONDICIONES DE LOS SERVICIOS

(“Términos y Condiciones de los Servicios” o “Términos”)

Estos Términos y Condiciones de los Servicios se celebran entre la Empresa y Usted, según se define en Su Contrato de Servicios al Cliente, y estos Términos se incorporan al Contrato de Servicios al Cliente a la fecha de entrada en vigor. El Contrato de Servicios al Cliente y estos Términos junto con cualquier documento que incorporen expresamente por referencia se denominan colectivamente el “Contrato”. Cualquier término en mayúscula que no se defina de otro modo en el presente tendrá el significado que se le atribuye en Su Contrato de Servicios al Cliente.

Aceptación de los Términos y cambios

Al firmar Su Contrato, Usted acepta quedar vinculado por estos Términos. Estos Términos están sujetos a cambios. Cualquier cambio sustancial se comunicará por escrito o por correo electrónico al menos treinta (30) días antes de que entre en vigor. Si Usted no está de acuerdo con dicho Contrato o con cualquier término o condición, su único recurso de reparación es interrumpir el uso de los Servicios, y es posible que no tenga derecho a un reembolso de acuerdo con Su Contrato. Si usted continúa usando los Servicio después de la publicación o notificación de cualquier cambio de este Contrato, se considerará que acepta este Contrato con las modificaciones introducidas por dichos cambios.

Responsabilidad financiera por los Servicios

La Empresa no está inscrita ni participa como proveedor en ningún programa de atención médica federal o estatal (p. ej., Medicare y Medicaid) ni en ningún otro seguro de salud privado, plan de beneficios de salud u organización de atención médica gestionada. Ninguno de los Servicios prestados u ofrecidos en virtud de este Contrato está cubierto por dichos programas o planes. Al celebrar este Contrato y utilizar los Servicios, Usted reconoce y acepta que (1) está eligiendo explícitamente obtener Servicios (incluidos los Servicios de Telesalud, Productos farmacéuticos, Prueba de ADN o todos los demás Servicios de Terceros adquiridos de conformidad con Su Contrato) en efectivo, al margen de cualquier programa de atención médica federal, estatal o de otro tipo; (2) Usted es el único responsable de los costos de todos los Servicios; y (3) ni Usted ni la Empresa presentarán una reclamación de reembolso a ningún programa de atención médica federal, estatal o de otro tipo, seguro médico privado, plan de beneficios de salud u organización de atención médica gestionada por los costos de los Servicios.

La Empresa puede darle la opción de financiar los Servicios descritos en este Contrato a través de una empresa de financiación externa (“Proveedor de Financiación”). La Empresa le presentará al Proveedor de Financiación. El Proveedor de Financiación podrá solicitarle información adicional para completar su evaluación crediticia y el proceso de aprobación. En caso de que Usted reúna los requisitos y decida utilizar la financiación de terceros, las condiciones de la financiación se establecerán en un acuerdo independiente directamente entre Usted y el Proveedor de Financiación (“Contrato de Financiación”). La Empresa no tendrá ninguna responsabilidad ni obligación en virtud del Contrato de Financiación, y usted reconoce que la Empresa no es parte ni garante del Contrato de Financiación.

Por el presente Usted autoriza que la Empresa revele al Proveedor de Financiación la información personal y financiera que pueda ser necesaria para facilitar el acuerdo de financiación. Usted reconoce y acepta que toda la información facilitada a la Empresa con este fin será exacta y completa a su leal saber y entender.

Sujeto a los términos del Contrato de Financiación, Usted autoriza al Proveedor de Financiación a realizar pagos directamente a la Empresa en nombre de Usted por los Servicios prestados en virtud del presente Contrato. Independientemente del acuerdo de financiación, Usted entiende que la responsabilidad última del pago de los Servicios a la Empresa recae sobre Usted.

La existencia de un Contrato de Financiación no altera Sus obligaciones en virtud del presente Contrato. En caso de discrepancia entre el presente Contrato y el Contrato de Financiación, prevalecerán los términos del presente Contrato en relación con los Servicios ofrecidos o prestados.

En caso de incumplimiento por Su parte del Contrato de Financiación, la Empresa se reserva el derecho a rescindir el presente Contrato y a ejercer todos los recursos disponibles en virtud del presente Contrato y de la legislación aplicable para recuperar los importes pendientes de pago por los Servicios prestados.

Descargo de responsabilidad

Servicios de HairClub RX

Los Servicios son vendidos u ofrecidos por la Empresa o Terceros que incluyen proveedores de servicios médicos, farmacias, laboratorios y otros proveedores. En particular, los Servicios proporcionan acceso a los servicios de suministro farmacéutico ofrecidos por Pharmco, Inc. (la “Farmacia”), servicios de laboratorio para la Prueba de ADN ofrecida por GX Sciences, LLC (el “Laboratorio”) y los servicios de atención médica ofrecidos a través de las tecnologías de telesalud de Wheel Medical, P.A., Wheel Medical, P.C., Wheel Medical, P.C., Wheel Medical of California, P.C., Wheel Medical of Washington, P.C., Wheel Medical of Illinois, P.C., Wheel Care, LLC y sus respectivos médicos empleados o contratados, profesionales de la salud asociados y proveedores con licencia (en conjunto, el “Grupo de Proveedores”) www.wheel.com. Al usar el Servicio, Usted puede entablar una relación médico-paciente u otra relación entre proveedor de atención médica y paciente con un proveedor del Grupo de Proveedores u otro Tercero. Los servicios están destinados a personas que hayan alcanzado la mayoría de edad en la jurisdicción en la que residen. Nuestro grupo de proveedores externos tiene licencia para brindar servicios de telesalud en los 50 estados, además de D.C.

Todos los proveedores de servicios externos, incluidos la Farmacia, el Laboratorio, el Grupo de Proveedores y sus proveedores son independientes de la Empresa. La Empresa cobra los montos en nombre del Tercero correspondiente y los paga a este.

Al utilizar los Servicios, Usted no está entablando una relación entre proveedor de atención médica y paciente con la Empresa. Cualquier información que la Empresa recopile o divulgue a un proveedor de Servicios de terceros se limita a lo que sea razonablemente necesario para proporcionarle los Servicios y dicha información solo se trata con su autorización expresa y en relación con relación directa con usted como Cliente. Para obtener un producto recetado como parte de los Servicios, debe haber realizado una consulta con un proveedor del Grupo de Proveedores. El proveedor del Grupo de Proveedores revisará Su caso específico y, si el proveedor lo considera apropiado, recetará un producto recetado, que puede incluir un medicamento de fórmula magistral, para satisfacer Sus necesidades específicas para el tratamiento de la pérdida de cabello.

Los Servicios también incluyen acceso a la Farmacia que puede surtir una receta que Usted recibe de un proveedor del Grupo de Proveedores. La Farmacia surtirá la receta y hará el envío, y el costo se incluye en la Tarifa de Servicio. La Empresa no avala ni garantiza ningún medicamento, producto recetado o producto o servicio de Terceros específicos. Si bien cada ingrediente farmacéutico de un medicamento de fórmula magistral, individualmente, puede ser aprobado por la Administración de Alimentos y Medicamentos (Food and Drug Administration, FDA), es posible que la combinación no lo sea. Los tratamientos elaborados mediante fórmula magistral no están aprobados por la FDA, y la FDA no evalúa la seguridad o eficacia de los fármacos combinados en fórmulas magistrales. En ninguna circunstancia obtendrá un producto recetado como parte de los Servicios, a menos que haya realizado una consulta con un proveedor del Grupo de Proveedores y el proveedor haya considerado que el producto recetado es apropiado desde el punto de vista médico según su criterio profesional independiente.

El laboratorio desarrolló la Prueba de ADN y determinó sus características de rendimiento. No ha sido autorizada ni aprobada por la FDA. Terceros

Como parte de los Servicios puestos a Su disposición durante el Plazo, Usted tendrá acceso a determinados productos y servicios de Terceros, según se describe en este Contrato. El uso que Usted haga de cualquier producto y servicio de Terceros es únicamente entre Usted y el Tercero. Debe realizar cualquier investigación que considere necesaria o apropiada antes de recibir productos o servicios de Terceros o de proporcionar información personal a Terceros. Cualquier Servicio que reciba de un Tercero, incluida la Farmacia, el Laboratorio o el Grupo de Proveedores y sus proveedores, está sujeto a los términos de uso, servicio y bienes de dicho Tercero, si los hubiera, y si no, está sujeto a este Contrato. El uso que Usted haga de productos y servicios de un Tercero debe cumplir con todos los términos del acuerdo con el Tercero correspondiente, si los hubiera. Salvo que se disponga algo diferente en el presente, no existe intención alguna de establecer ningún derecho de terceros beneficiarios.

Envío, entrega, título de propiedad y riesgo de pérdida

La Farmacia coordinará el envío de los medicamentos recetados, según corresponda. En la máxima medida permitida por la ley aplicable, el título de propiedad y el riesgo de pérdida se le transfieren a Usted en el momento en que los productos recetados se entregan al transportista. Las fechas de envío y de entrega son simples estimaciones y no pueden garantizarse. No somos responsables de ninguna demora en los envíos.

Acceso a servicios y seguridad de la cuenta

Para utilizar determinados aspectos de los Servicios, debe configurar cuentas con ciertos Terceros (“Cuenta”). Para configurar una Cuenta, debe proporcionar cierta información de identificación personal y establecer un nombre de usuario y contraseña que utilizará para acceder a determinadas partes de los Servicios (“Contraseña”).

Como condición para que Usted pueda usar los Servicios, toda la información requerida que proporcione deberá ser correcta, actual y completa. Usted se compromete a informar de inmediato al Tercero correspondiente sobre cualquier cambio en la información de registro de Su Cuenta

En la máxima medida permitida por la ley aplicable, nos reservamos el derecho de tomar cualquier medida que consideremos necesaria para garantizar la seguridad de los Servicios. Usted es el único responsable de mantener la confidencialidad de Su Contraseña. Cualquier persona que tenga conocimiento o acceso a Su Contraseña puede usar dicha información para acceder a Su Cuenta. Usted es el único responsable de cualquier reclamo, daños y perjuicios, pérdida, costo u otra responsabilidad que resulte o sea causada por el incumplimiento de la obligación de mantener la confidencialidad de su contraseña Su Contraseña, ya sea que ello ocurra con o sin Su conocimiento o consentimiento. Usted acepta que nos notificará de inmediato a nosotros y al Tercero correspondiente sobre cualquier acceso o uso no autorizado, real o presunto, de Su Contraseña o sobre cualquier otra violación de la seguridad de Su Cuenta.

Usted también es responsable (i) de todas las transacciones o actividades realizadas mediante el uso de Su Cuenta y Contraseña; y (ii) de asegurarse de que cuando Usted accede a la Cuenta, el sistema que utilice para acceder a ella sea seguro, no se deje sin supervisión a menos que Usted haya salido completamente de la Cuenta y que Su Contraseña no pueda ser recuperada del sistema por otras personas.

No se permiten transferencias

Los Servicios descritos en el Contrato son personales y están diseñados para Usted. Por consiguiente, los beneficios descritos en este Contrato no se pueden transferir a nadie.

Ley vigente y arbitraje

Este Contrato se regirá e interpretará según las leyes de la provincia o el estado en el que se firma el Contrato sin dar efecto a los principios relativos a los conflictos de leyes. Sin perjuicio de esta disposición de la ley vigente, si por algún motivo, la totalidad del Contrato o parte de este resultaran inválidas o inexigibles en tal provincia o estado, entonces este Contrato se regirá e interpretará según las leyes del estado de la Florida en los Estados Unidos. Todos los reclamos que surjan en virtud de este Contrato deben resolverse y solucionarse mediante el arbitraje definitivo y vinculante según las Reglas de Arbitraje Comercial de la Asociación Americana de Arbitraje (American Arbitration Association, “AAA”), y realizado por un solo árbitro miembro de la AAA. Los arbitrajes deben tener lugar en el condado o en la provincia en la que se firmó el Contrato, pero las partes pueden elegir si asistir personalmente, por teléfono o a través del envío de documentación. El árbitro emitirá un laudo por escrito y detallará todas las consideraciones de hecho y de derecho sobre las que se realizó el laudo. El laudo puede ser anulado o corregido mediante una apelación ante un tribunal competente en caso de errores de derecho o razonamiento legal. De lo contrario, el laudo del árbitro será definitivo y vinculante para todas las partes y puede presentarse ante cualquier tribunal competente. Las partes acuerdan que todos los cargos, costos y gastos, incluidos, entre otros, honorarios razonables de abogados y costos del árbitro, incurridos por la parte vencedora de un procedimiento de arbitraje según este Contrato, serán reembolsados por la parte vencida; siempre que, si una parte prevaleciera en parte y perdiese en parte, el tribunal, el árbitro u otro mediador pueden conceder el reembolso de los cargos, costos y gastos incurridos por cada parte de manera equitativa.

Indemnización

Usted acepta defender, indemnizar y eximir de responsabilidad a la Empresa, y cualquier subsidiaria y filial respecto de todos y cada uno de los derechos, demandas, pérdidas, responsabilidades, daños y perjuicios, reclamos, motivos para emprender acciones judiciales, acciones y demandas (independientemente de que sean por derecho de common law o de equity), tarifas, costos y honorarios de abogados de cualquier tipo que surjan directa o indirectamente o en relación con: (i) Su uso o uso indebido de los Servicios; (ii) Su incumplimiento del Contrato; (iii) el contenido o el objeto de cualquier información que Usted proporcione a la Empresa o a cualquier Tercero; o (iv) cualquier acto negligente o ilícito u omisión por parte de Usted en Su uso o uso indebido de los Servicios, lo que incluye, entre otros, violación de derechos de propiedad intelectual de terceros, derechos de privacidad o conducta negligente o ilícita.

Sin demanda colectiva

Usted acuerda no presentar ni participar en ninguna demanda contra la Empresa como demandante o miembro de una demanda colectiva en ningún procedimiento colectivo o representativo. A menos que Usted y la Empresa lo acordasen de otra manera, el árbitro o el tribunal competente, no tendrán la autoridad de consolidar o unirse a los reclamos de otras personas o partes en situación similar y no presidirá sobre ningún tipo de procedimiento colectivo o representativo. Si un reclamo se refiere a este apartado y un tribunal determina que este apartado es inválido, inaplicable o ilegal, dicho reclamo será resuelto por un tribunal competente y no por un árbitro.

Limitación de responsabilidad

EN LA MEDIDA MÁXIMA PERMITIDA POR LAS LEYES Y EN FUNCIÓN DE LOS SERVICIOS QUE USTED RECIBE, USTED ACEPTA QUE NI LA EMPRESA NI NINGUNA DE SUS FILIALES O EMPLEADOS SERÁN RESPONSABLES DE DAÑOS OCASIONADOS A USTED O SUS BIENES, INCLUIDOS, ENTRE OTROS, DAÑOS DIRECTOS, INDIRECTOS, INCIDENTALES, ESPECIALES, PUNITIVOS O EMERGENTES QUE SURJAN A CAUSA DE CUALQUIER INCUMPLIMIENTO, LESIÓN O NEGLIGENCIA POR PARTE DE LA EMPRESA O SUS EMPLEADOS O DE CUALQUIER ACCIÓN, JUICIO, RECLAMO O DEMANDA QUE SE DERIVE DE LOS SERVICIOS QUE USTED RECIBE, O DE QUE EL LABORATORIO, LA PLATAFORMA, LA FARMACIA, EL GRUPO DE PROVEEDORES, LOS PROVEEDORES Y LOS TERCEROS PRESTEN CUALQUIER SERVICIO EN VIRTUD DE ESTE CONTRATO, O DE ESTE CONTRATO. SIN PERJUICIO DE LO MENCIONADO CON ANTERIORIDAD, SI POR CUALQUIER MOTIVO, POR APLICACIÓN DE LAS LEYES O DE OTRA MANERA, CUALQUIER PARTE O TODA ESTA LIMITACIÓN DE RESPONSABILIDAD RESULTA INVÁLIDA O INAPLICABLE, LA RESPONSABILIDAD MÁXIMA, ÚNICA Y EXCLUSIVA ANTE USTED POR LOS DAÑOS QUE RESULTEN DE CUALQUIER INCUMPLIMIENTO, LESIÓN O NEGLIGENCIA ESTÁ LIMITADA A UNA INDEMNIZACIÓN PECUNIARIA GENERAL EQUIVALENTE O MENOR QUE LAS TARIFAS DE SERVICIO QUE USTED PAGÓ EN VIRTUD DE ESTE CONTRATO EN LOS DOCE (12) MESES INMEDIATAMENTE ANTERIORES AL RECLAMO QUE DIO LUGAR A LA RESPONSABILIDAD DE LA EMPRESA. LA EMPRESA NIEGA EXPRESAMENTE CUALQUIER GARANTÍA EXPRESA O IMPLÍCITA NO INCLUIDA EN ESTE CONTRATO.

Disposiciones varias

Si un árbitro o un tribunal competente descubren que algún término o condición de este Contrato es inválido, ilegal o inexigible, entonces, en la medida que lo permita la ley, el árbitro o el tribunal deberá aplicar la intención detrás del término inválido a su interpretación del Contrato y, si no es posible, el término inválido debe ser suprimido de este Contrato, pero el resto de este Contrato debe permanecer vigente según sus términos restantes. En ningún caso se exigirá a la Empresa que explique, comente, asuma responsabilidad alguna ni renuncie a ningún derecho o facultad discrecional en relación con la aplicación, la no aplicación o la coherencia en la aplicación de los presentes términos. Este Contrato no se puede enmendar y sus términos no se pueden dispensar, excepto que se haga mediante un documento escrito firmado por ambas partes.
